TERMS AND CONDITIONS (“ TERMS ”) FOR ACCESS TO AND USE OF THE SOURCE LONDON SCHEME

WELCOME TO THE SOURCE LONDON SCHEME

THESE TERMS APPLY ONLY TO INDIVIDUAL AND SINGLE USER MEMBERS OF THE SOURCE LONDON SCHEME.

The " Source London " Scheme is a scheme by which members are permitted to:

· use an electric vehicle charging point (and associated parking location) to charge an electric vehicle; and

· (in some circumstances, where charge points are technically equipped with this facility) to reserve and pre-book an electric vehicle charging point for charging the vehicle,

in a manner permitted by these Terms (which do contain certain limitations and conditions of usage).

The Source London service is operated by Bluepointlondon Limited, a private limited company with company number 08803842, and our registered office is located at 5 Cavendish Square, London W1G 0PG. Our VAT number is 7167428239.

These Terms form part of the contract between us and You for Your registration as either a Full Member or Flexi Member , and any subsequent use by You of the Source London service. Please take particular note of the important information provided below which we would like to highlight to You. You should print a copy of these Terms or save them to Your computer for future reference. These Terms, and any contract between us, will only be in the English language.

IMPORTANT INFORMATION

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND ENSURE YOU UNDERSTAND THEM.

PLEASE PAY PARTICULAR ATTENTION TO PARAGRAPH 9 (LIMITATION OF OUR LIABILITY), PARGRAPH 8 (YOUR RESPONSIBILITY FOR LOSSES THAT YOU CAUSE) AND PARAGRAPH 10.5 (YOUR RIGHT AS A CONSUMER TO CHANGE YOUR MIND AND CANCEL).

THESE TERMS ALSO CONTAIN IMPORTANT INFORMATION ON HOW YOU SHOULD USE THE SOURCE LONDON SERVICE.

WE ARE CURRENTLY UPGRADING AND ENHANCING THE SOURCE LONDON CHARGE POINT INFRASTRUCTURE. THIS IS A GRADUAL PROCESS. SOME SOURCE LONDON CHARGE POINTS CAN BE USED WITHOUT PAYMENT OF SESSION FEES (THOUGH SUBSCRIPTION FEES NEED TO BE PAID), AND OTHER CHARGE POINTS (SMART AND RAPID) CAN ONLY BE USED ON PAYMENT OF SESSION FEES AS WELL AS THE SUBSCRIPTION FEES. CHARGE POINTS WHICH CAN BE USED WITHOUT PAYMENT OF SESSION FEES WILL BE IDENTIFIED BY A STICKER ON THOSE CHARGE POINTS.

WHERE A CHARGE POINT IS LOCATED IN A CAR PARK OR OTHER RESTRICTED AREA, YOU MAY ALSO HAVE TO PAY PARKING FEES TO THE CAR PARK OPERATOR TO PARK YOUR CAR, IN ADDITION TO THE FEES THAT YOU PAY TO US FOR USING OUR SERVICE. WE WILL ENDEAVOUR TO COMMUNICATE THIS TO YOU THROUGH OUR SOURCE LONDON WEBSITE AND SOURCE LONDON APP.

IT IS VERY IMPORTANT THAT YOU PAY ATTENTION TO ANY SIGNAGE AND/OR PARKING RULES AND RESTRICTIONS THAT ARE IDENTIFIED FOR PARTICULAR CHARGE POINTS / SOURCE LONDON BAYS, AND THAT YOU COMPLY WITH THESE RULES AND RESTRICTIONS. SOME SOURCE LONDON BAYS ARE SUBJECT TO TIME LIMITS AND RESTRICTIONS ON RETURNING TO A PARTICULAR SOURCE LONDON BAY WITHIN A PRESCRIBED TIME. PLEASE ALSO READ THE RULES FOR USE OF SOURCE LONDON BAYS DESCRIBED IN PARAGRAPH 6.

AS A CONSUMER, IF YOU EXERCISE YOUR RIGHT TO CHANGE YOUR MIND AND CANCEL THESE TERMS IN ACCORDANCE WITH  PARAGRAPH 9.5 WE MAY AGREE TO REFUND YOU PARTIALLY IN ACCORDANCE WITH PARAGRAPH 11 (OUR REFUND POLICY).

AS A FULL MEMBER, YOUR MEMBERSHIP IS SUBJECT TO A SUBSCRIPTION FEE FOR THE MEMBERSHIP PERIOD OF TWELVE (12) MONTHS FROM THE ACTIVATION DATE, AND UPON EXPIRY OF THE MEMBERSHIP PERIOD IS AUTOMATICALLY RENEWED ON EACH ANNIVERSARY OF THE ACTIVATION DATE, AND A NEW SUBSCRIPTION FEE WILL BECOME DUE (PAYABLE IN MONTHLY INSTALMENTS) UNLESS YOU NOTIFY US IN WRITING AT LEAST THIRTY (30) DAYS BEFORE THAT ANNIVERSARY DATE THAT YOU DO NOT WISH TO RENEW YOUR MEMBERSHIP .

AS A FLEXI MEMBER YOUR MEMBERSHIP IS SUBJECT TO A FLEXI MEMBER APPLICATION FEE FOR THE MEMBERSHIP PERIOD WHICH COMMENCES ON THE ACTIVATION DATE AND CONTINUES FOR A PERIOD OF TWELVE (12) MONTHS AND WILL RENEW AUTOMATICALLY ON EACH ANNIVERSARY OF THE ACTIVATION DATE UNLESS YOU NOTIFY US IN WRITING WITH AT LEAST THIRTY (30) DAYS NOTICE BEFORE THAT ANNIVERSARY DATE THAT YOU DO NOT WISH TO RENEW YOUR MEMBERSHIP.

WE WOULD ALSO LIKE TO EMPHASISE THAT ALTHOUGH THERE ARE RAPID CHARGE POINTS WITHIN THE SOURCE LONDON SCHEME, WE DO NOT RECOMMEND USING THESE SINCE EVIDENCE SUGGESTS THAT USE OF A RAPID CHARGE POINT CAN DAMAGE YOUR VEHICLE AND ITS BATTERY. THERE ARE INHERENT RISKS OF DAMAGE TO YOUR VEHICLE CAUSED BY USING A RAPID CHARGE POINT AND IF YOU USE A RAPID CHARGE POINT, YOU ACCEPT THESE INHERENT RISKS. WE WILL NOT BE LIABLE TO YOU FOR DAMAGE TO YOUR VEHICLE RESULTING FROM YOUR USE OF A RAPID CHARGE POINT UNLESS THIS DAMAGE IS CAUSED BY OUR NEGLIGENCE AND NOT BY THE INHERENT RISKS OF USING A RAPID CHARGE POINT.

BY CLICKING ON THE "ACCEPT" BUTTON, YOU ARE AGREEING TO BE BOUND BY THESE TERMS AND CONDITIONS EITHER AS A FULL MEMBER OR A FLEXI MEMBER.

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MUST SELECT THE "DECLINE" BUTTON BELOW AND YOU WILL NOT BE AUTHORISED TO USE THE SOURCE LONDON SERVICE.

1. Definitions

In these Terms, the following words will have the following meanings:

‘Activation Date’ means the date from which You are entitled to use Source London. Subject to the terms of this contract, (and provided that i) You have completed the Application Form, ii) that as a Full Member You have fully paid the first monthly instalment of the Subscription Fee and, as a Flexi Member, You have paid the Source London Membership Application Fee specified in Schedule 1, iii) You have agreed to the Terms; and (iv) we have issued Our Acceptance) the Activation Date shall be the date You nominate during the Membership Application Process. If You do not nominate an Activation Date, the Activation Date will be the same as the Membership Subscription Date;

‘Additional Fee’ means a fee, in the amount set out in Schedule 1, which You must pay for  the occurrence of any of the circumstances set out in respect of each applicable fee in Schedule 1;

‘Application Form’ means the online form, available on the Source London Website, that You must complete during the Membership Application Process, and which we must accept,  before You become a member of Source London;

‘Approved Vehicle Category’ means those models of electric and hybrid vehicles that can be charged using Charge Points, as identified on the Source London Website from time to time;

‘Charge Point’ means a charge point infrastructure which is part of the Source London network, which can enable a plug-in electric vehicle in an Approved Vehicle Category (through usage of a Source London Membership Card) to connect to and charge from an electricity supply. "Charge Points" are either Rapid Charge Points or Smart Charge Points. Charge Points which are not Rapid Charge Points or Smart Charge Points will be identified by signage indicating that You can charge Your Vehicle at that Charge Point for free;

‘CP Zone’ means the specific zone where a Charge Point is available to members; the zone is identified for each Charge Point on the Source London Website and on the Source London App.;

‘Customer Relations Center’ means the Source London information and help center, which is open 24 hours a day, 7 days a week, and which can be contacted using the details set out in paragraph 11.2 ;

‘Flexi Member’ means a membership that is subject to a Flexi Member Application Fee for the Membership Period and which commences from the Activation Date and continues for a period of twelve (12) months   and is renewed each year for a further period of twelve (12) months, unless You notify us in writing with at least thirty days’ notice before that anniversary date that You do not wish to renew Your membership;

‘Full Member’ means a membership subject to a monthly Subscription Fee for the Membership Period of twelve (12) months from the Activation Date and upon expiry of the Membership Period is automatically renewed on each anniversary of the Activation Date, and a new Subscription Fee will become due (payable in monthly instalments) unless You notify us in writing at least thirty (30) days before that anniversary date that You do not wish to renew Your membership;

‘Membership Application Process’ means the process of applying for membership of Source London, which must be completed on the Source London Website;

‘Membership Period’ means the duration of Your Source London membership as described in paragraph 2.6 ;

‘Membership Subscription Date’ means the date when all the following conditions have been fulfilled: (i) You have completed the Application Form, (ii) as a Full Member You have paid the first monthly instalment of the Subscription Fee or as Flexi Member You have paid the Flexi Member Application Fee for the Source London Membership Card set out in Schedule 1, (iii) You have agreed to the Terms; and (iv) we have issued Our Acceptance;

‘Our Acceptance’ means an email sent by us to You confirming that we accept Your Application Form and that a contract between You and us, incorporating these Terms, has been formed in respect of Your Source London membership;

‘Overnight cap’ means that the Session fee is limited to the amount stated in the cap provided that the Session fee commenced and ended during the period of the cap;

‘Promotional Code’ is defined in paragraph 7.10 ;

‘Rapid Charge Point’ means a Charge Point that is capable of delivering 22 Kilowatts or more of power to a vehicle in an Approved Vehicle Category;

‘Refund Policy’ means our refund policy in respect of the Subscription Fee provided in paragraph 12 ;

‘Renewal Date’ means each anniversary of the Activation Date, from which, subject to the Full Member electing not to renew in accordance with paragraph 2.6.2 below, the Membership Period of a Full Member will automatically renew for a further twelve (12) month period;

‘Reservation Fee’ means the fee for reserving a Smart Charge Point in accordance with Schedule 1, paragraph 3;

‘Session Fee’ means a fee calculated based on the length of time from the point at which You swipe Your Source London Membership Card on the Smart Charge Point, to the point at which You end the charging session by swiping the Source London Membership Card on that Smart Charge Point again, calculated at the VAT inclusive rate set out in Schedule 1 (subject to a minimum period of 20 minutes per charging session);

‘Smart Charge Point’ means a Charge Point (which may include a Rapid Charge Point) which is equipped with the technical facility to allow members of Source London to reserve the Charge Point in advance of use via the Source London App or the Source London Website. Charge Points that are not Rapid Charge Points will typically be capable of delivering either 3kw or 7kw of power to a vehicle in an Approved Vehicle Category;

‘Source London’ means the Source London Scheme which is more particularly described at the start of these Terms;

‘Source London App’ means the mobile application operated by Source London for use on a mobile phone or device, conforming to the requirements of such application, and allowing a member of Source London to perform some of the same functions as on the Source London Website, in particular searching for and reserving a Smart Charge Point;

‘Source London Membership Card’ means an access key, card or device to enable You to access the Charge Points during the Membership Period;

‘Source London Bay’ means a designated parking bay for Source London which is directly linked to a Charge Point;

‘Source London Privacy Policy’ means the privacy policy referred to in paragraph 13 below, which is available to view on the Source London Website;

‘Source London Website’ means www.sourcelondon.net ;

‘Source London Zone’ means the area covered by Source London as set out on the Source London Website;

‘Subscription Fee’ means an annual fee from the Activation Date and any Renewal Date, payable monthly in advance in twelve equal instalments as set out in Schedule 1, paragraph 4;

‘Terms’ means these terms and conditions;

‘Vehicle’ means the plug-in vehicle, in an Approved Vehicle Category, with the licensed number plate set out in Your Application Form, or a substitute Vehicle (in an Approved Vehicle Category) notified by You and accepted by us in accordance with these Terms;

‘We , Us or Our’ refers to Bluepointlondon Limited, a private limited company incorporated and registered in England and Wales with company registration number 08803842 whose registered office is at 5 Cavendish Square, London W1G 0PG or, from the date on which any operational transfer of Source London occurs, any successor operator of Source London whose name, principal place of business and date of transfer to such successor operator is communicated to members via the Source London Website;

‘You or Your’ refers to You, being an individual not acting for the purposes of Your trade, business or profession and named as the 'Applicant' in the Application Form, and whose application to use the Charge Points has received Our Acceptance.

2. Membership of Source London

2.1 By applying to be a member of Source London, You confirm to us that You are at least 18 years of age. To become and remain a member of Source London You must:

2.1.1 have completed the Application Form online on the Source London Website and we must have issued Our Acceptance;

2.1.2 pay as a Full Member the first monthly instalment of the Subscription Fee (Schedule 1, paragraph 4) and, as a Flexi Member , You must have paid the fee set out in Schedule 1, paragraph 4 for the Source London Membership Card ;

2.1.3 be and remain throughout each Membership Period the owner or the registered keeper of the Vehicle;

2.1.4 ensure the Vehicle is, and remains registered with the DVLA in the United Kingdom or, with other equivalent foreign Administration for Vehicles registered abroad; and

2.1.5 comply with these Terms, together with any instructions that we may send to You or (in the event of circumstances where You call our Customer Relations Center for assistance) with any instructions that we may give You orally from time to time in relation to the access to and use of Charge Points and Source London; and

2.1.6 maintain a valid credit or debit card which is accepted for payment by us (please refer to the list of accepted payment methods on the Source London Website) and a bank account in Your own name in relation to which You have full and complete authority; and

2.1.7 instruct Your bank to establish a direct debit in our favour to permit us to take payment from Your bank account of any fees or other amounts due to us under these Terms; and

2.1.8 not owe us money;

2.2 As part of the Application Form, You will be required to provide the following information about the Vehicle: (a) registration number; and (b) manufacturer; and (c) model; and (d) year of first registration.

2.3 You must pay as a Full Member the first monthly instalment of the Subscription Fee (Schedule 1, paragraph 4) or, as a Flexi Member , the fee set out in (Schedule 1, paragraph 4) for the Source London Membership Card by credit or debit card by visiting the Source London Website. We do not retain Your credit or debit card details. Unfortunately, we are unable to accept cheques or cash payments. As a consumer, You are entitled to a 14 day cooling-off period in which to cancel Your membership to Source London and, as a Full Member , a refund of the first monthly instalment of the Subscription Fee, or as a Flexi Member , a refund of the Application Fee. Please refer to paragraph 10.5 below for further details.

2.4 Our Source London Website will guide You through the steps You need to take to complete the Application Form online. Our order process allows You to check and amend any errors before submitting Your Application Form to us. Please take the time to read and check the Application Form order at each page of the application process. After You submit Your Application Form, You will receive an email from us acknowledging that we have received Your application. However, please note that this does not mean that Your application has been accepted. If we accept Your Application Form, we will confirm this by sending You Our Acceptance. The contract between us will only be formed when we send You Our Acceptance.

2.5 Following receipt from a Full Member of the first monthly instalment of the Subscription Fee or, as a Flexi-Member, the fee for the Source London Membership Card set out in Schedule 1, paragraph 4, and our issuance of Our Acceptance, we will issue You with a Source London Membership Card in accordance with paragraph 3 below which will enable You to access the Charge Points in accordance with these Terms. We will also send You a sticker which You must display in Your Vehicle's windscreen, ensuring that it is clearly visible at all times. This sticker will alert parking enforcement agencies and other relevant parties to the fact that You are a member of Source London and are therefore authorised to park in Source London Bays. We will send the Source London Membership Card and sticker to You at the postal address You have provided to us. Please note we will not reimburse or compensate You for any fines, penalties or charges that You incur as a result of Your failure to display this sticker clearly in Your windscreen and You will be solely responsible for such charges.

2.6 Commencement and Duration

2.6.1 You may choose to have Your Membership Period begin up to 30 days after the Membership Subscription Date. In such circumstances, the date You choose for the commencement of Your Membership Period shall be the Activation Date and You will not be able to use Source London until this date. If You do not nominate a deferred Activation Date, You will be permitted to use Source London from the Membership Subscription Date (which will be Your Activation Date). Please refer to paragraph 10.5 to see how choosing a deferred Activation Date may affect Your right as a consumer to cancel this contract.

2.6.2 As a Full Member , Your Membership Period lasts for twelve (12) months from the Activation Date and will renew automatically for further twelve (12) month periods from each Renewal Date unless You notify us in writing no less than 30 days in advance of the Renewal Date that You do not wish to renew Your Source London membership (unless either we or You have terminated earlier in accordance with these Terms). If You do not notify us of Your intention not to renew Your membership within the required timeframe, Your Source London membership will automatically renew until otherwise terminated by You or us in accordance with these Terms and a new Subscription Fee will become due on each Renewal Date.

2.6.3 As a Flexi Member Your Membership Period commences from the Activation  Date and continues for a period of twelve months and will renew automatically on each anniversary of the Activation Date unless You notify us in writing with at least thirty (30) days’ notice before that anniversary that You do not wish to renew Your membership.

3. Access to Charge Points

3.1 Your Source London Membership Card gives You access to the Source London Charge Points and will be valid for the Membership Period. When Your membership of source London terminates, Your Source London Membership Card will be deactivated. The Source London Membership Card remains our property at all times.

3.2 You are responsible for keeping Your Source London Membership Card safe and secure. If Your Source London Membership Card is lost, stolen or damaged You must notify us immediately and we will issue You with a replacement Source London Membership Card. In this case, we will charge You the non-refundable Additional Fee as set out in Schedule 1, paragraph 5.

3.3 Your Source London Membership Card can only be used by You for Your Vehicle. Vehicles must only have one Source London Membership Card registered to it at any one time. You may not transfer Your Source London Membership Card to any other person including any purchaser of Your Vehicle. You must notify us immediately if You are no longer the registered owner or registered keeper of the Vehicle and/or if You wish to transfer Your Source London Membership Card to a new vehicle which falls within the Approved Vehicle Category. If we accept Your new vehicle as a substitute, Your membership will be associated with the new vehicle and You will no longer be able to use Your Source London Membership Card to charge the former vehicle.

3.4 We reserve the right to terminate or suspend Your Source London Membership Card at any time if we have reasons to suspect that Your Source London Membership Card is being used fraudulently or in breach of these Terms or if You have notified us that it has been lost, stolen or damaged. We will notify You of any such termination or suspension. We may also update the format of our Source London Membership Cards or membership access process (particularly as technology evolves), in which case we may issue You with a new Source London Membership Card or other method of access which should be used in substitute for Your Source London Membership Card, but if we do this, we will give You a reasonable notice period.

3.5 Although we will use our reasonable endeavours to make a Charge Point available, we cannot guarantee the availability of any Charge Point or that any Charge Point will be fully operational (whether reserved by You or not) as these factors are outside of our control and can depend on the actions of third parties, including the individual owners of the Charge Points (where the Charge Points are not owned by us) and the owners of locations where we are permitted to place our Charge Points. If You do experience any problems accessing or using any Charge Points, please contact the Customer Relations Center.

3.6 Vehicles that are in the Approved Vehicle Category will be able to use Source London Charge Points, but if You have any queries or concerns about whether or not Your vehicle can be charged at Source London Charge Points, please check the Approved Vehicle Category list on the Source London Website or contact the Customer Relations Center.

4. Reserving a Smart Charge Point

4.1 A Member may reserve a Smart Charge Point via the Source London Website or the Source London App. After a Smart Charge Point has been reserved, You have 40 minutes to go to and access the selected Smart Charge Point for use with Your Source London Membership Card.

4.2 Please refer to the Source London Website or the Source London App regularly for an up to date map showing the location of the Smart Charge Points. Please note the location and type of Charge Point may change from time to time.

4.3   Smart Charge Points can currently be reserved free of charge. However we may in  future notify You that a Reservation Fee will be payable each time You reserve a Smart Charge Point – Please refer to Schedule 1, paragraph 3.

5. Cancelling or Changing a Smart Charge Point  Reservation:

5.1 You can cancel a pending Smart Charge Point reservation at any time before expiry of 40 minutes from the time You make the initial reservation. You can cancel a reservation via the Source London Website, Source London App, or by contacting the Customer Relations Center.

5.2 After a Smart Charge Point reservation has been cancelled, You will not be permitted to make a new reservation for 10 minutes; or if the reserved Smart Charge Point has not been accessed by You for use within the reserved period, You will not be permitted to make a new reservation for 10 minutes.

5.3 You will incur an Additional Fee (Schedule 1, paragraph 5) in addition to the Reservation Fee (Schedule 1, paragraph 3) if You do not access the Smart Charge Point for use, or do not cancel the reservation, within 40 minutes from the time You make the applicable reservation.

5.4 You can change a pending Smart Charge Point reservation by switching a reservation to another Smart Charge Point, at any time before the expiry of 40 minutes from the time You make the reservation. You can change a reservation via the Source London Website, Source London App, or by contacting the Customer Relations Center. Please note that changing a Smart Charge Point reservation will not extend the period of time for accessing that Smart Charge Point referred to in paragraph 4.1 above.

6. Charging Your Vehicle

IT IS PARTICULARLY IMPORTANT THAT YOU ADHERE TO THE RULES FOR PROPER USAGE AND OCCUPATION OF SOURCE LONDON BAYS TO OPTIMISE THEUSE OF THESE BAYS FOR THE BENEFIT OF ELECTRIC VEHICLE USERS.

6.1 You may charge Your Vehicle at a Charge Point whilst correctly parked within the boundaries of a Source London Bay. If You incorrectly park Your vehicle or park in a way which impedes other Source London members from using a neighbouring Source London Bay or Charge Point, You will be liable to pay whatever parking enforcement charges might be levied by the relevant parking enforcement authority or site operator, as well as the Additional Fee payable to us in accordance with Schedule 1, paragraph 5. You must also ensure that Your Vehicle is at all times parked in accordance with any rules and policies that apply to such Source London Bay. Please note that such rules and policies may differ from one Source London Bay to another and we will not be responsible for charges or fines You incur as a result of Your failure to observe parking restrictions.

6.2 You must not park in a Source London Bay if You are not using a Charge Point to charge Your Vehicle.

6.3 Please be aware that some Source London Bays may require the payment of access and/or parking charges to third parties, in addition to amounts payable to us (where the Source London Bays are located in facilities operated by third parties). Some Source London Bays may be subject to time limits on usage (and where this is the case, there will be signage indicating such time limit restrictions near the Source London Bay. You must comply with the parking rules applicable to the Source London Bay. You are responsible for the payment of any applicable parking charges whilst parked in the Source London Bay.

6.4 Where Source London Bays are located within facilities operated by third parties which require the payment of access and / or parking charges, in limited circumstances You may be able to access these facilities, solely for the purpose of using a Charge Point for free by identifying Yourself as a current Source London member  by presenting Your Source London Membership Card and displaying Your Source London vehicle sticker. Where this is possible, it will be clearly indicated at the entrance to the relevant facility. Where such free access is provided, You must only park in a Source London Bay while using a Charge Point. If You park in a bay other than a Source London Bay, You are responsible for the payment of any applicable parking charges.

6.5 In addition to any Additional Fees which You might become liable to pay us if You breach these Terms and to any parking charges that might be payable to third parties for occupying certain Source London Bays (as described in paragraph 6.3 above),  if You park in any Source London Bay in a way which is in breach of any signage relating to the relevant Source London Bay, and/or any applicable laws, byelaws, regulations, parking rules or policies in force in any particular location (such as time limits for usage of a bay or restrictions on returning to park within a bay during any prescribed time period), You may be subject to any sanctions and liable to pay any fines or penalties imposed by the relevant parking enforcement authority. You also risk Your Vehicle being immobilised / clamped, or removed.  You may  have to pay- to release Your Vehicle.

6.6 You must follow all instructions provided to users in relation to the use of a Charge Point. Please note that these may differ from one Charge Point to another and that there may be additional requirements and/or restrictions regarding the use of Rapid Charge Points. You must ensure that You comply with all such additional requirements and/or restrictions. Please refer to the Source London Website for instructions on how to use the Charge Points and contact the Customer Relations Center if You have any queries. When using a Smart Charge Point, whether reserved or not, You must  swipe Your Source London Membership Card  on the Charge Point to gain access to the charging facility. You will not be able to access and use a Smart Charge Point which has already been reserved by another Source London member.

6.7 You must not park in a Source London Bay or use a Charge Point that is showing a red light. A Smart Charge Point showing a red light means the Charge Point is not working. Unless You have reserved a Smart Charge Point, You must not use a Smart Charge Point showing a blue light and park in the associated Source London Bay. A Smart Charge Point showing a blue light means that it is reserved by You or another user. If You have no reservation and park in a Source London Bay that has been reserved by another user, You will be charged the Additional Fee, specified in Schedule 1, paragraph 5, to cover administration costs and lost fees.

6.8 You specifically agree that You will not use any Charge Point or occupy a Source London Bay for longer than three consecutive hours (or other indicated time limit) where this time limit applies to the particular Source London Bay, nor return to that Source London Bay within a restricted time (in each case, as indicated by signage at that Source London Bay).

6.9 It is Your responsibility to ensure that the charging of Your Vehicle using a Charge Point is carried out safely so as to avoid injury to any person or damage to property. In particular, this includes but is not limited to ensuring that You take all reasonable care when charging Your Vehicle and that:

6.9.1 You have all necessary connector cables to enable Your Vehicle to be charged at a Charge Point;

6.9.2 the connector cable is safely plugged into Your Vehicle and the positioning of the connector cable does not create a tripping hazard to any person;

6.9.3 the Vehicle is not driven with the connector cable still attached to the Charge Point;

6.9.4 the connector cable is not unplugged from the Vehicle before the plug is removed from the Charge Point; and

6.9.5 once You have finished charging Your Vehicle, the connector cable is disconnected  in accordance with paragraph 6.10 and the Charge Point housing closed. If this is completed correctly and You have swiped Your membership card on the Charge Point, this will end the charging session.

IMPORTANT NOTICES: If You do not follow the above procedure for correctly disconnecting Your Vehicle from the Charge Point: i) the charging session may not end, and You will continue to be charged Session Fees, even if electricity is not actually being delivered to Your Vehicle; and ii) the Charge Point may not be registered on our system as available, meaning that it will not become available for use by other members. One of our operatives will therefore need to attend the Charge Point in person to reset the Charge Point. In these circumstances, we will charge You the Additional Fee set out in Schedule 1, paragraph 5 by way of an administration fee.

6.10 You can access the Source London Website, which will provide You with information on the Charge Points that You are entitled to use, including their location. We will update this information on a regular basis. Please always check for up-to-date information as Charge Points may be moved or withdrawn from Source London or new Smart Charge Points added from time to time. Your membership of Source London does not entitle You to use any Charge Point except those designated as available as part of Source London on the Source London Website or Source London App.

7. Payment of Fees

7.1 Where You use a Smart Charge Point, You must pay the applicable Session Fees set out at Schedule 1, paragraphs 1 and 2. Session Fees are calculated based on the length of time from: (a) the point at which You swipe Your Source London Membership Card on the Smart Charge Point; to (b) the point at which You end the charging session by swiping the Source London Membership Card on that Smart Charge Point again; calculated at the rate set out in Schedule 1, paragraph 1 and 2. The minimum charging period is twenty (20) minutes, meaning that if You use a Smart Charge Point for less than twenty (20) minutes, You will be charged Session Fees as if You had used that Smart Charge Point for twenty (20) minutes. Session Fees are payable in addition to the Subscription Fee and You cannot credit any instalments of the Subscription Fee against the Session Fee. Please note You will not be required to pay Session Fees when You use a Charge Point which is not a Smart Charge Point. Please check the Source London Website and the Source London App regularly to see whether a particular Charge Point is a Smart Charge Point and therefore attracts Session Fees, as this may change from time to time.

7.2 Charge Points which do not incur Session Fees for use will be indicated by a sticker on the Charge Point notifying You that use of that Charge Point is free (subject to the payment of Your Subscription Fee).

7.3 Shortly after using a Smart Charge Point, You will receive an SMS text message from us setting out: (a) the length of time You spent using the Smart Charge Point, and (b) the Session Fees payable in respect of the same. We will then debit Your nominated bank account in accordance with paragraph 7.7.2 below.

7.4 We will deliver periodic invoices to You in the member area of the Source London Website on the first to occur of:

7.4.1 the time at which the aggregate Session Fees and other amounts that are due to us reaches £50; and

7.4.2 seven (7) days from the last time You used a Charge Point.

7.5 Our invoices will set out all outstanding amounts due to us at the date of that invoice or amounts paid to us since the later of: (a) the date of the previous invoice delivered to You, and (b) the Activation Date. The amount of Your invoice shall be rounded to two decimal places.

7.6 You may access all invoices via Your account in the member area of the Source London Website. You can also request paper copy invoices, but this will incur the Additional Fee set out at Schedule 1, paragraph 5 per invoice to cover our administrative and postage costs.

7.7 Payments

7.7.1 You authorise us to make withdrawals from the bank account that You nominated on the Application Form, to cover all monthly instalments of the Subscription Fees except the first monthly instalment which You must pay by credit or debit card upon completion of the Application Form, Session Fees or any administration fees that fall due.

7.7.2 We will debit Your nominated bank account: (a) in respect of Session Fees, shortly after You have finished using a Smart Charge Point; or (b) in respect of other amounts that may be due to us from You, such as Additional Fees, seven (7) days after we notify You that the fee has become payable. This notification may be by text message or via the member area of the Source London Website.

7.7.3 Under no circumstances will we be responsible for any overdraft or other fees charged by Your credit or debit card company or bank.

7.7.4 Please note we may debit Your nominated bank account for amounts due to us before You have received an invoice detailing the amount payable.

7.8 Updating payment methods

7.8.1 You must ensure that we have Your up to date bank account details. If Your bank account details change for any reason, You must tell us straight away by contacting the Customer Relations Center or via the Source London Website.

7.8.2 We have the right to debit Your nominated bank account in particular circumstances under these Terms and therefore, if Your current credit card or debit card expires or is cancelled during the term of this contract, You must update Your card details via the member area on the Source London Website at least 14 days before the expiry date or immediately on the cancellation of Your current card. For cards due to expire, this update must take place upon receipt of the new bank card and before the old card expires. In any case, You authorise us to obtain through lawful means Your updated bank card information and use this to process the amounts payable to us under this contract.

7.8.3 You must ensure that there are sufficient funds in Your bank account for payment of each instalment of the Subscription Fee when it falls due, all Session Fees that You incur and any other amounts that might be due to us under this contract. You shall provide us with an alternative method of payment if such funds are not available or if payment is cancelled by You or Your bank.

7.8.4 If You are in breach of paragraph 7.8.1 , 7.8.2 or 7.8.3 above, meaning that we are unable to withdraw funds from Your account, we will send You a text message informing You of the issue and may, seven (7) days from the first rejected payment suspend Your access to Source London until You have provided us with up to date payment information and paid us any monies owed to us. We will always let You know when we suspend Your access to Source London. You will also be charged  in Additional Fee in Schedule 1, paragraph 5, by way of an administration fee if a payment that is due to us from You is dishonoured by Your bank or bounces as a result of You breaching paragraphs 7.8.1 , 7.8.2 or 7.8.3 above.

7.9 Interest

7.9.1 We also reserve the right to charge You interest on any outstanding amounts due to us (including Subscription Fees, Session Fees and any  Additional Fees payable by You) which we were unable to collect from You or were not paid to us by other means on the date that the payment was due. Interest on these amounts will be charged at a rate of 3% per annum above CM-CIC Bank's UK base rate from time to time. Such interest shall accrue on a daily basis from the due date until actual payment of the overdue amount, whether before or after judgment. You will need to pay the interest together with the overdue amount.

7.10 Promotional Codes

7.10.1 We may,  at our sole discretion, create promotional codes that You may redeem and credit against Subscription Fees and Session Fees, subject to any additional terms that we establish on a per promotional code basis (" Promotional Code ").

7.10.2 You agree that Promotional Codes: (a) are unique to the member to whom they are delivered, are non-transferable, and can only be used by the member to which they are delivered; (b) must only be used for the intended purpose, and in a lawful manner; (c) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by us; (d) may be disabled by us at any time for any reason without liability to You; (e) may only be used pursuant to the specific terms that we establish for such Promotional Code (including promotion time limits); (f) are not valid for, and cannot be exchanged for, cash; and (g) may expire prior to Your use of the Promotional Code.

7.10.3 We reserve the right to withhold or deduct credit against Subscription Fees and/or Session Fees or other features or benefits obtained through the use of Promotional Codes in the event that we determine or reasonably believe that the use or redemption of the Promotional Code was in error, fraudulent, illegal, or in violation of the applicable Promotional Code's terms, or these Terms.

8. Your Responsibility for Losses

8.1 You will be responsible for any damage caused to a Charge Point, any other property or for any injury to any person which is caused by Your breach of these Terms or by Your misuse or negligence or failure to comply with any user instructions or guidance in relation to a Charge Point. You must notify us immediately of any damage caused to a Charge Point.

9. Limitation of Our Liability

9.1 No Guarantee of Availability of Source London

9.1.1 While we will use our reasonable endeavours to make Source London available for use by its members in accordance with our duties to perform this contract using reasonable care and skill, we cannot guarantee the 24/7 availability of Source London. Because Source London is a self-service operation, we shall not be responsible to You if a Charge Point is unavailable at any particular location or if we are incapable of honouring the reservation of a Smart Charge Point, in the event of an occurrence outside of our control (such as the parking or standing by an unauthorised person in the Source London Bay at the time You have reserved a Smart Charge Point despite the Source London Bay lighting indicating that the Source London Bay has been reserved). However, if this does occur, please contact the Customer Relations Center who will try to direct You to an available Source London Bay.

9.2 Right to Suspend Source London

9.2.1 If, for any reason, Source London is Completely Unavailable for a period of more than 5 consecutive days, You will be entitled to a partial refund of the Subscription Fee You have paid to us or such other type of refund as decided by Source London. "Completely Unavailable" means the Source London scheme being 100% / completely unavailable for use (and this term does not include unavailability of any particular Source London Bay or Charge Point at a particular location).

9.3 We are responsible to You for foreseeable loss and damage caused by us:

9.3.1 If we fail to comply with these terms, we are responsible for loss or damage You suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill. Please see paragraph 11.3 which gives You information about the level of service You are entitled to expect from us. However, we are not responsible for any loss or damage that is not foreseeable or which is not caused by our breach of this contract or failure to use reasonable care and skill. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and You knew it might happen, for example, if You discussed it with us during the Membership Application Process.

9.4 We are not liable for business losses

9.4.1 We only provide Source London under these Terms for domestic and private use. If You use the service for any commercial, trade; business, profession or re-sale purpose we will have no liability to You for any loss of profit, loss of business, business interruption, depletion of goodwill, loss of business opportunity or for any indirect or consequential losses.

9.5 Exclusion of Certain Types of Loss

9.5.1 Subject to paragraph 8.8 (Losses that we do not exclude or limit) below, we will not be liable to You, for: (a) any loss of, or damage to, Your personal property whether during or after using a Charge Point, unless such loss or damage is caused by our negligence or if we have breached this contract or failed to use reasonable care and skill; (b) the unavailability of a Source London Bay or Charge Point because it has already been occupied by another member of Source London or a third party (unless we have caused such unavailability by our negligence, such as by failing to implement a reservation that You have made); and (c) any damage caused to Your Vehicle as a result of Your use of a Rapid Charge Point, as we have advised You of the risk of such damage arising (unless such damage is caused by our negligence and not by the inherent risks of using a Rapid Charge Point). Please note that we do not recommend the use of Rapid Charge Points. Evidence suggests that use of a Rapid Charge Point can damage Your Vehicle and its battery. There are inherent risks of damage to Your Vehicle caused by using a Rapid Charge Point, and if You use a Rapid Charge Point, You accept and assume these inherent risks.

9.6 Safety Instructions / Events Outside of our Control / Maintenance & Upgrade Works

9.6.1 We shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under the contract that is caused by: (a) Your failure to comply with reasonable instructions regarding the safe use of Charge Points, including instructions given in signage, in these Terms and on the Source London Website; (b) Your failure to inform us of any material issues or defects of which You are aware; or (c) Your breach of these Terms; in the case of each of (a), (b) and (c), except to the extent that any damage suffered is caused by our negligence or breach of these Terms; or (d) an event outside of our control, provided that we take reasonable steps to prevent or minimise delay. These types of events could include (amongst others) strikes or other industrial action by third parties, civil commotion, riot, terrorist attack or threat of terrorist attack, war (whether declared or not), fire, explosion, storm, flood, earthquake, or other natural disaster, failure of or interruption to public or private telecommunications and  utility supply, including but not limited to electrical power networks that we do not control, the impact of computer viruses which does not result from our negligence, failure or disruption to GPS satellites or signal failures, traffic congestion or accidents, or delays caused by road or street works, computer machinery or (e) planned maintenance works or works relating to the reinforcement, upgrade or extension of Source London or its Charge Points. Where possible, we will give You as much notice of these works as reasonably possible by posting details of such works on the Source London Website.

9.7 Our maximum liability to You

9.7.1 Our liability to You shall not be limited if we have failed to provide Source London services to You with reasonable skill and care or within a reasonable time of entering into this contract, provided such failure is completely our fault.

9.7.2 In circumstances which fall outside of those described at paragraph 9.7.1 , and subject to paragraph 9.8 , our total liability to You in respect of all other losses arising in connection with this contract, whether in tort, including negligence, breach of statutory duty, misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of this contract, shall be limited to £100,000. This means that the most You could claim from us for losses incurred by You in these circumstances would be £100,000.

9.8 Losses that we do not exclude or limit

9.8.1 Nothing in this contract shall limit or exclude our liability to You for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot be limited or excluded under the laws of England and Wales.

10. Termination or Cancellation

10.1 Source London is a pan-London scheme that is reliant upon the participation of Charge Point owners. If Source London becomes no longer viable for whatever reason (including financial), we may by written notice to You, terminate Source London and Your membership of it. In such circumstances, You will be entitled to a refund of a proportion of the Subscription Fee in accordance with our Refund Policy in paragraph 12.3 .

10.2 Our right to terminate

10.2.1 If You are found to be misusing a Charge Point, Source London Membership Card or a Source London Bay or if You do not comply with these Terms, we will be entitled to terminate Your membership  of Source London and deactivate Your Source London Membership Card upon notice to You (but where it is possible for You to remedy the misuse or non-compliance, we will give You notice of this and allow You at least seven (7) days to complete the remedy before exercising our right to terminate).

10.3 Your right to terminate

10.3.1 You will be entitled to terminate Your membership of Source London upon written notice sent to us by special delivery post to Bluepointlondon Limited, 5 Cavendish Square, London W1G 0PG if: (a) we are in material breach of these Terms or we are unable to provide the Source London service to You due to an event beyond our control; (b) You sell Your Vehicle; or (c) You move home and are no longer living within the Source London Zone. If any of the above circumstances in this paragraph 10.3.1 apply, You will be entitled to a refund of a proportion of the Subscription Fee in accordance with our Refund Policy in paragraph 12 , Your statutory rights are unaffected. For the above, we are entitled to ask You to provide proof.

10.3.2 As a Flexi Member You will also be entitled to terminate Your membership of Source London upon thirty (30) days written notice to us by special delivery post to Bluepointlondon Limited, 5 Cavendish Square, London W1G 0PG.

10.4 Consequences of termination or cancellation

10.4.1 Upon termination or cancellation of Source London or Your membership: (a) You will no longer be entitled to use any Charge Points; (b) we will deactivate Your Source London Membership Card; and as a Full Member (c) You may be entitled to a refund of a proportion of the Subscription Fee in accordance with our Refund Policy as specified in paragraph 12.3 of the Terms.

10.5 Cooling-off Period – Consumers Only (Consumer Right to Change Your Mind and Cancel)

10.5.1 As a consumer You have the right to change Your mind and cancel Your membership of Source London and this contract without needing to give a reason, within 14 days after the effective date of the contract, which is 14 days after the Membership Subscription Date (the " Cooling-off Period ").).

10.5.2 Please note if You choose an Activation Date which is later than the Membership Subscription Date, the Cooling-off Period will still begin from the Membership Subscription Date and expire 14 days after the Membership Subscription Date. The cooling-off (cancellation) period is not deferred or extended by choosing a deferred Activation Date. Therefore, if You choose an Activation Date that is 14 or more days after Your Membership Subscription Date, You will not have the right to cancel without giving a reason; just because  You change  Your mind) once Your service has been activated. This does not affect Your rights if we do not provide the Source London service in accordance with the requirements of these Terms.

10.5.3 To exercise Your right to change Your mind and cancel, You must notify us of Your decision to cancel Your membership of Source London and this contract by a clear statement sent to us by email to our Customer Relations Center via Your personal area of the Source London Website or by post to the address given in paragraph 11.2 , before the Cooling-off Period has expired. You may use the cancellation form set out in Schedule 2, but this is not obligatory. This is in addition to Your rights to terminate Your membership of Source London and this contract, set out in paragraph 10.3 above and paragraphs 14.4 or 15.2.3 below.

10.5.4 If You cancel Your membership of Source London and this contract in accordance with this paragraph 10.5 , we will return to the Full Member , the Subscription Fee or, to the Flexi Member ,  refund the Membership Application Fee set out in Schedule 1, paragraph 4 within 14 days after the day on which we were notified of Your decision to cancel, unless You have made an express request to use Source London, by using a Charge Point within that 14 day Cooling-off Period, in which case You will be charged any Session Fees, and other charges accrued in accordance with these Terms. Please note that You will be liable to pay these Session Fees for usage of the Source London service during Your Cooling-off Period even if You decide to cancel Your membership of Source London during the Cooling-off Period .

10.5.5 We will reimburse You any amounts due using the same means of payment You used to pay those charges, unless You agree otherwise. You will not incur any fees as a result of the reimbursement.

10.5.6 If You do not cancel Your membership of Source London and this contract in accordance with this paragraph 10.5 within the Cooling-off Period, the contract  will remain binding, instalments of the Subscription Fee that You have paid shall be non-refundable and You may only terminate Your membership of Source London and the Contract in accordance with paragraph 10.3 above or paragraphs 14.4 or 15.2.3 below.

10.5.7 If You do cancel Your membership of Source London by exercising Your right to cancel as a consumer in accordance with this paragraph 10.5 , then You will need to comply with the consequences of cancellation described in paragraph 10.4 .

11. Contacting Us, Complaints & Your Legal Rights

11.1 Contact between You and us

11.1.1 Us contacting You.

In most circumstances, if we need to contact You for any reason, we will do so by leaving a message in Your personal area of the Source London Website. This will automatically generate an email to Your nominated email address, informing You that You have a new message. You must check Your personal area of the Source London Website frequently. Any notices or communication required or permitted to be given to You shall be in writing and shall be sufficiently given if delivered to You in this way. In some circumstances, we may provide information by other means: for example, when You have successful completed a charging session, we will notify You by SMS text message or, if we do not have Your SMS text message contact details, by email.

11.1.2 You contacting us.

If You need to contact us for any reason, in the first instance You should contact the Customer Relations Center using the details set out below. Any notices or formal communication required or permitted to be given to us (for example, if You would like to cancel Your membership) must be in writing, and  (except for any notice to terminate under paragraph 10.3 ) shall  be sufficiently given if sent to the Customer Relations Center via Your personal area of the Source London Website.

11.2 You can also contact the Customer Relations Center using any of the following options: (a) through the contact form on the Source London Website; (b) by telephone: 0203 056 8989 or any other number specified on our website; (c) by post to: BLUEPOINTLONDON LIMITED, Customer Department, 5 Cavendish Square, London W1G 0PG, U.K.

IMPORTANT NOTICE You must notify us immediately  via Your personal area on the Source London Website if:

· any of Your contact details change;

· You have sold Your Vehicle; and/or

· You wish to apply to transfer Your Source London Membership Card to a new vehicle in an Approved Vehicle Category;

·

11.3 Summary of Your legal rights :

11.3.1 We are under a legal duty to supply services that conform with this contract. See the box below for a summary of Your key legal rights as a consumer in relation to Source London. Nothing in these Terms will affect Your legal rights.

In relation to Source London, the Consumer Rights Act 2015 says:

You can ask us to repeat or fix a service if it's not carried out with reasonable care and skill, or get some money back if we can't fix it.

· if You haven't agreed a price upfront, what You're asked to pay must be reasonable.

· if You haven't agreed a time upfront, it must be carried out within a reasonable time.

These Terms describe in more detail how Your rights apply in relation to the Source London service and explain to You how to exercise these rights.

12. Refund Policy for the Subscription Fee

12.1 Refund requirements

12.1.1 Refunds relating to the Source London Subscription Fee will be considered only in the following situations: (a) in the circumstances set out in paragraph 10.3.1 above, where a partial refund is considered to be fair and reasonable in light of the circumstances that have occurred and the impact that these circumstances have had on the Source London services; or (b) in the event that a member is entitled to a refund of a proportion of its Subscription Fee in accordance with paragraphs 9.2 , 10.1 , 10.3 , 10.5.4 or 14.4 ; or (c) where You are exercising Your right to cancel as a consumer and are entitled to a refund under paragraph 10.5 .

12.1.2 Refunds may only be made in respect of instalments of the Subscription Fee that You have paid within the relevant Membership Period.

12.1.3 A refund will not be made for the administration fee charged for the issuance of a replacement card, unless You are exercising Your right to cancel under paragraph 10.5 .

12.2 Requesting a refund

12.2.1 A customer requesting a refund will need to do so by writing to Source London and should either: (a) exercise their right to cancel in accordance with paragraph 10.5 above; or (b) confirm that they are seeking a refund of a proportion of the Subscription Fee paid in accordance with paragraph 9.2 , 10.1 , 10.3 , 10.5.4 or 14.4 (as applicable).

12.2.2 Refund requests should be made by contacting the Customer Relations Center.

12.3 Refund Amount

12.3.1 In the event of a refund being requested in accordance with paragraph 10.5 , the value of the refund will be the amount of the total of all instalments of the Subscription Fee actually paid within the relevant Membership Period;

12.3.2 If we are unable to provide the Source London service as whole due to the circumstances described in 9.6.1 (a) and You request a refund of a proportion of Your Subscription Fee as a result, then (but only in the circumstances where we are unable to provide the Source London service as a whole for these reasons, and not where just part of the Source London service is unavailable), You may be entitled to such partial refund of all instalments of the Subscription Fee that You have paid in the relevant Membership Period as is fair and reasonable in all the circumstances.

12.4 Refund methods

12.4.1 Where agreed, refunds will generally be issued by way of a credit against future Session Fees that You may incur. Where a refund is agreed, this will automatically be credited against Your account and will be applied as payment (or part payment) on the next Session Fees that You incur. However, where You have left Source London at the time a refund is agreed, that refund will be made to the bank account that You have registered with us against which we have a direct debit instruction. Such refunds will only be made to the individual who made the original purchase. If there is any ambiguity, we reserve the right to request proof of identity.

12.4.2 A refund will result in Your Source London Membership Card being immediately de-activated from the date the refund payment is made unless notified otherwise by Source London.

12.4.3 Excluding refunds as a result of Your exercise of Your right to cancel according to paragraph 10.5 , if You are entitled to a refund we will use our reasonable efforts to make such refund within 10 working days i) from the date the member is entitled to this refund or ii) from the receipt by us of the request issued by the member.

13. Personal Data

13.1 We will collect and hold certain personal information about You and Your use of Source London. We are committed to complying with our legal obligations in the manner in which we hold and use Your personal information.

13.2 Please refer to the Source London Privacy and Cookies Policy, accessible on www.sourcelondon.net, which explains how the information shared by You or collected from You will be used and disclosed by us. You acknowledge that the Source London Privacy Policy may be amended from time to time in accordance with its terms.

13.3 Please note that we may share Your personal data with third parties, such as the other members of the Bolloré Group and our service providers, for the purposes of providing the Source London service. You hereby consent to such use by us. Note that we do not retain Your credit or debit card details.

14. Amendments

14.1 We may amend any of these Terms at any time with immediate effect to reflect any changes to applicable taxes. Any such changes shall be effective and binding on You from the time we notify You of such changes.

14.2 In addition to our right to amend these Terms under clause 14.1 above, we may amend any of these Terms by providing You with thirty (30) days' prior written notice.

14.3 However, except as provided in clause 14.1 above and except for the Session Fees and Reservation Fees increases as provided in Schedule 1, paragraphs 1-3 of these terms, we will not amend the amount of the Subscription Fee or Session Fees more than twice in any year, and will not increase either the Subscription Fee or Session Fees by more than 12% of the then current fee or fee rate (save in cases where no fee is currently charged for the service in question, in which case no limit on the amount of such new fee will apply). Changes that we might need to make may be to reflect modifications to the way that Source London works (e.g. changes to the charging and payment structure) or to comply with any law, policy or regulation, but such changes may also be for different reasons.

14.4 If we make any changes to these Terms in accordance with clauses 14.2 and 14.3 above and You do not wish to be bound by such changes, You will be entitled to terminate Your membership to Source London upon written notice to us within thirty (30) days of our notice to You amending the Terms. In such circumstances, You will be entitled to a refund of a proportion of the instalments of the Subscription Fee that You have paid between the date of our notice to You and the date we have received Your notification to terminate Your membership, in accordance with our Refund Policy under paragraph 12 . If we do not receive Your notification to terminate Your membership within thirty (30) days of our notice to You amending the Terms, You shall be bound by any such changes.

14.5 You will not be entitled to terminate Your membership in accordance with clause 14.2 if changes to these Terms relate to Session Fee and/or Reservation Fee increases scheduled in Schedule 1 of these Terms .

14.6 A notice to the Member under paragraphs 14.1 and 14.2 above will be deemed delivered when posted to Your account in Your member area of the Source London Website.

15. Other Important Terms

15.1 Treatment of Source London personnel and other members

15.1.1 Source London and BPL staff and representatives will at all times behave politely, courteously and respectively towards You, and expect the same from You.

15.1.2 You must not exhibit any inappropriate behaviour (for example violence, verbal and/or physical assault, threats, insults and/or intimidation) towards Source London or BPL staff or other representatives, nor other members. If You breach this paragraph 15.1.2 , we will immediately terminate Your membership of Source London, and You will not be provided with a refund. If we suspect that You have committed a criminal offence, we will report all relevant facts to the police.

15.2 Other

15.2.1 Nothing in these Terms is intended to, or shall be deemed to establish any partnership, agency or joint venture between the parties.

15.2.2 Only You and we have rights under these Terms. No other person shall have any rights under these Terms. You may not transfer or assign any of Your rights or obligations under these Terms to any other person.

15.2.3 We may transfer our rights and obligations under these Terms to another organisation. We will contact You to let You know if we plan to do this. If You are unhappy with the transfer You may contact the Customer Relations Center to end the contract within 30 days of us telling You about it and You will be entitled to a refund of a proportion of the Subscription Fee in accordance with our Refund Policy in clause 12 .

15.2.4 The rights and remedies provided in these Terms are in addition to, and not exclusive of, any rights or remedies provided by law.

15.2.5 If we do not insist immediately that You do anything You are required to do under these Terms, or if we delay in taking steps against You in respect of You breaking this contract, that will not mean that You do not have to do those things and it will not prevent us taking steps against You at a later date. For example, if You miss a payment and we do not chase You but we continue to provide the services, we can still require You to make the payment at a later date.

15.2.6 The paragraph headings in these Terms are included for convenience only and shall not affect the interpretation of these Terms.

15.2.7 Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

15.2.8 These Terms are governed by English law. If You bring legal proceedings before a court in respect of any aspect of Source London, You may only do so in the English courts, except if You live in Scotland where You may bring legal proceedings either the Scottish or the English Courts; or if You live in Northern Ireland, in which case You may bring proceedings in either Northern Irish or English Courts.

15.3 Comments, Issues and Complaints

15.3.1 If You would like to give us any comments or raise any issues in relation to Source London, please contact the Customer Relations Center.

15.3.2 If You would like to raise any complaint about any aspect of Source London: (a) in the first instance, please raise any comments or complaints with the Customer Relations Center, who will do their best to resolve the issues behind Your complaint as quickly as possible; (b) if You are not happy with how the Customer Relations Center has handled any complaint, or how Your complaint was resolved, You are entitled to request that we escalate Your complaint within our organisation; (c) if You remain unhappy with the resolution to Your complaint, we recommend that You commence an alternative dispute resolution process. Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without You having to go to court. (d) if You would prefer; disputes may be submitted for online resolution to the European Commission Online Dispute Resolution platform http://ec.europa.eu/consumers/odr/) .

We will be entitled to charge You £20. You may also be subject to sanctions (fines or penalties) imposed by the relevant parking enforcement authority and risk Your Vehicle being immobilised, clamped or removed. There could be a fee to recover Your Vehicle.

You park in a Source London Bay that has been reserved by another user (i.e. displaying a BLUE light).
